The Australian backdrop
What is changing in Australia, and when
The announced measures we are asked about most by Australian business owners. Some are increases and some are reductions — both are listed, because a page that shows you only the bad news is selling you something.
| What is changing | Detail | From | Who it affects |
|---|---|---|---|
| Capital gains tax discount | The 50% CGT discount is replaced by cost base indexation plus a 30% minimum tax on real gains. | 1 Jul 2027 | Anyone selling appreciated assets held over 12 months |
| Negative gearing | Deductions limited to newly built dwellings. Existing arrangements grandfathered from 7:30pm AEST, 12 May 2026. | 1 Jul 2027 | Residential property investors |
| Division 296 super tax | Additional 15% on earnings attributable to balances between $3m and $10m, and 25% above $10m. Unrealised gains are not taxed and thresholds are indexed. | Commenced 1 Jul 2026 | Large superannuation balances — first assessments FY2028 |
| Discretionary trusts | A 30% minimum tax applied to discretionary trust distributions. | 1 Jul 2028 | Family trust and distribution structures |
| Personal income tax | The second marginal bracket falls from 16% to 15%, then to 14%. | 1 Jul 2026 & 1 Jul 2027 | All taxpayers — a reduction |
| Loss carry-back | Company loss carry-back reinstated. | 1 Jul 2026 | Companies with recent trading losses — a benefit |

Structures we establish
Holding companies, offshore entities and SPVs — what each is for
Most enquiries arrive naming a structure. It is usually better to work backwards from the objective — ring-fencing risk, consolidating ownership, planning succession and trading are four different problems, and some need more than one entity.
| Structure | What it is used for | Usually established in | Worth knowing |
|---|---|---|---|
| Holding company | Owning shares in operating subsidiaries, intellectual property and investments. | DIFC, ADGM, DMCC, RAKEZ and other free zones | Substance is the whole question — a holding entity with no real management presence is the first thing any tax authority examines. |
| SPV (special purpose vehicle) | Ring-fencing a single asset, project, property or joint venture from the rest of the group. | ADGM and DIFC SPV regimes; RAK ICC | Usually carries no office or visa allocation, which is the point. Generally cannot trade in its own right. |
| Operating company | Actually trading — invoicing clients, employing people, holding the working bank account. | Mainland, or any free zone depending on who you sell to | Mainland if you need to sell inside the UAE. Free zone if your customers are international. |
| Branch or subsidiary | Extending an existing Australian company rather than incorporating something separate. | Mainland or free zone | Keeps the parent’s identity and trading history, but changes the liability and reporting picture materially. |
| Foundation | Succession, asset holding and long-term family governance, held separately from any one individual. | DIFC, ADGM and RAK ICC foundation regimes | An ownership vehicle rather than a trading one. Usually sits above a holding company. |
| Holding and operating pair | Separating what trades from what owns, so risk sits in one entity and accumulated value in another. | Varies with activity, substance and visa requirements | The most common arrangement we set up for owners who already have a business behind them. |
What it costs
What it costs to establish and maintain
A structure is not a product with a shelf price — two owners asking for the same thing can need entirely different entities. These are the starting points we quote from, and your proposal itemises every line against the structure we actually recommend.
Australian dollar figures are indicative and move with the exchange rate. Your written proposal is issued in AED with every line itemised.
Payment plans available — the cost can be spread rather than paid up front.
- Free zone company
- from $9,000
- Additional residence visas
- Quoted per person
- Mainland company
- Quoted individually
Starting prices, exclusive of government fees that vary by activity and visa count. DIFC, ADGM and multi-entity structures are quoted individually because the scope varies too widely to publish a figure that would be useful.
Your UAE residence visa
What residency comes with the structure, and the Golden Visa question
Where a structure includes an operating entity, it supports a renewable residence visa for you and the family you sponsor. Here are the routes, and where the Golden Visa genuinely sits.
| Visa route | Who it is for | Term |
|---|---|---|
| Investor or partner visa | You, as the owner or partner in your own UAE company. This is the visa a company license supports. | 2 years, renewable |
| Employee visa | Staff you hire under your license. How many you can hold depends on your setup and premises. | 2 years, renewable |
| Family and dependants | Spouse, children and in many cases parents, sponsored on your own residence visa once it is issued. | Tied to your visa |
| Golden Visa | A separate route with its own qualifying criteria — property investment at a set threshold, public investment, or recognition as a specialist in certain fields. Setting up a company does not grant one. | 10 years |

What happens from your desk, and what needs you in Dubai
Every provider says “100% remote”. It is not quite true, and knowing the difference before you begin is the point. Here is the honest split.
-
Done while you are in Australia
No travel required
- Discovery call and structure recommendation
- Name reservation and initial approval
- Incorporation filed with the authority or registry
- Share structure, constitutional documents and registers issued
- Bank application prepared and submitted for pre-review
- UAE corporate tax and VAT registration
Documents are collected digitally and executed remotely. For most structures the entities are incorporated and documented before you have booked a flight.
-
Requires you in the UAE
Done in person, in the UAE
- Medical fitness test for your residence visa
- Emirates ID biometrics
- Bank account activation, where the bank requires you in person
- Premises inspection and Ejari, if you choose mainland
These are legal requirements set by the authorities, not our process. We tell you which stages need you here before you start, so nothing about the timing is a surprise.
How it works
How company formation in the UAE works, step by step
You keep the same advisor from the first call through to renewal — one name, one number, one timezone to deal with.
-
Step 1Tell us what you have
30 minutes on what you own, how it is held today and what you are trying to achieve. An advisor calls you at a time that works in your timezone.
-
Step 2Get it in writing
The entities we would use, which jurisdiction each sits in and why, with every cost itemised. Nothing is filed until you agree to it.
-
Step 3We file while you stay put
Incorporation, share structure and corporate documents completed while you remain in Australia.
-
Step 4Complete and maintain
Medical, Emirates ID and bank appointments arranged around your travel — then renewals and compliance under the same account manager.

Questions
What Australian business owners ask us first
1. Is a consultation useful if I haven’t settled on a structure yet?
That is the better time to have it. Most enquiries arrive naming a structure — a holding company, an SPV, an offshore entity — because that is what was suggested somewhere else, and the structure then gets built before anyone has established what it is for. Start from the objective instead: ring-fencing risk, consolidating ownership across entities, holding IP, planning succession, or trading from a single base. The structure follows from that, and sometimes the answer is that what you already have is adequate and a UAE layer adds cost without adding anything else. 30 minutes, free, no obligation, at a time that works in your timezone — and you will be told when the answer is to do nothing.
2. Can I set this up without leaving Australia?
Almost all of it, yes. Name reservation, initial approval, incorporation, share structure and your corporate documents all complete remotely while you are in Australia. What requires you in the UAE is the residence visa — the medical fitness test and Emirates ID biometrics — and some bank account activations. We tell you exactly which stages need you here before you start.
3. What is the difference between a holding company and an SPV?
A holding company sits above your operating businesses and owns them: shares in subsidiaries, intellectual property, investments. It is permanent and usually carries some substance. An SPV is deliberately narrower — a vehicle created to hold one asset, project or joint venture and insulate it from everything else. ADGM and DIFC both run dedicated SPV regimes for exactly that, typically without office space or visas, because an SPV is not meant to trade. Many structures use both: a holding company at the top, SPVs beneath it.
4. How much substance does a UAE holding company actually need?
More than most people assume, and this is where structures fail rather than at incorporation. A holding entity is expected to be genuinely directed and managed from where it is registered — real decision-making, premises appropriate to what it does, accounting, and in many cases resident directors. A company registered in Dubai but run entirely from Sydney is not a Dubai company in any sense that matters. We will tell you at the scoping stage what each entity would need, and if that is not something you want to put in place, we would rather say so than sell you a structure that will not hold.
5. Does a UAE structure change my Australian tax position?
Not by itself, and that is the single most important thing to understand before you start. There is a real difference between genuinely relocating and becoming a non-resident for Australian tax purposes, and remaining an Australian tax resident while holding a UAE entity. The second brings Australia’s controlled foreign company rules and anti-avoidance provisions into play. We are UAE corporate service providers, not Australian tax advisers — your residency position is a matter for a registered Australian adviser, and we will say so on the call rather than after you have paid.
6. Can I move my existing Australian company across, or do I start again?
Both routes exist. A branch or subsidiary extends what you already have, keeping the parent’s identity and trading history, which matters if you are mid-contract or hold accreditations. A new UAE entity starts clean, which is usually simpler to structure and to bank. Which is right depends on your contracts and your liability position, and we work through it with you on the first call.
7. Can you register an offshore company in Dubai?
Yes, though “offshore” is used loosely and it is worth being precise. RAK ICC is the UAE’s offshore registry, and within the wider group we also establish in Seychelles, BVI, Panama and Hong Kong. An offshore company holds assets, owns shares and contracts — it does not trade inside the UAE and it does not carry a residence visa. If you need to invoice UAE clients or hold a residence visa, you need a free zone or mainland entity, sometimes alongside the offshore one. We will tell you which combination your objective actually needs.
8. Will a bank accept a holding company or an SPV?
It depends on the structure, the underlying activity, the beneficial ownership and how the file is presented — holding entities are scrutinised more closely than trading ones. We prepare the application to the standard UAE banks expect and introduce you to banks that accept structured entities rather than declining them on sight. Holding a UAE residence visa materially improves your position, which is why we sequence that before the account. No consultant can guarantee a bank’s decision, and you should be sceptical of any who claims otherwise.
9. How long does the whole thing take?
Incorporation itself is quick — often days once documents are in order, though DIFC and ADGM run longer than a standard free zone. Scoping a multi-entity structure properly takes longer than incorporating it, and that is the part worth not rushing. Residence visas add roughly 1–2 weeks after the entity is established. From first call to fully operational with a visa in hand, plan on 4–6 weeks.
