LLC, free zone company or branch — which one you register in Dubai
Five routes cover almost every company registration in Dubai and the wider UAE. The right one follows from who owns the business and who it sells to — we confirm it on the first call, before anything is filed.
| Entity | What it is | Foreign ownership | Best suited to | Visas | Premises |
|---|---|---|---|---|---|
| LLC — mainland | Limited liability company | 100% on most activities | Sell directly anywhere in the UAE, government and retail contracts | Scales with office size | Physical premises + Ejari |
| Free zone company | FZ-LLC or FZE (single shareholder) | 100% | International clients, online business, re-export | Set by your package | Flexi-desk usually sufficient |
| Branch | Extension of an existing company | 100% | Same activities as the parent, no separate legal identity | Scales with office size | Premises required |
| Subsidiary | Separate company owned by a parent | 100% | Own activities and liabilities, ring-fenced from the parent | Scales with structure | Depends on jurisdiction |
| Holding company | Owns shares, property or IP | 100% | Not for trading — ownership and group structure only | None attached | Not usually required |
What LLC actually means in the UAE
LLC stands for limited liability company. It is the standard mainland entity: the shareholders’ liability is limited to what they have put into the company, so personal assets sit outside the business. It is registered with the emirate’s economic department and entered on the commercial register, and the trade license you receive is the evidence of that registration.
The rule most people are still working from is out of date. UAE law now permits 100% foreign ownership across the large majority of commercial activities, so an Emirati partner is no longer required for most businesses. A short list of strategic activities remains an exception. We confirm which side of that line your activity falls on before you choose a structure.
In a free zone the equivalent entity is an FZ-LLC, or an FZE where there is a single shareholder. Same limited liability, different registration authority and a different set of rules about who you can sell to.

What our company formation services cover
Build the scope you need into your proposal. Your advisor confirms what is included, what is optional and any third-party charges before you commit.
-
Structure review
The proposed shareholders, the business purpose and the relationship to any existing entities, reviewed together before an entity type is recommended.
-
Jurisdiction comparison
Mainland and free zone routes compared against your intended market, office needs and hiring plans — not against whose license we happen to sell.
-
Trade name & registration
Name reservation under UAE naming rules, initial approval, and the registration application prepared and filed with the relevant authority.
-
Incorporation documents
Memorandum of association, shareholder resolutions, passport and signature requirements — identified and prepared for your specific structure.
-
Corporate shareholder preparation
Where an existing company will hold shares in the new entity, its certificate of incorporation, register of shareholders and board resolution usually need attestation. We identify that early rather than mid-filing.
-
After incorporation
Bank account introduction, residence visas, corporate tax registration, accounting and annual renewal — mapped alongside the formation rather than after it. Account opening remains subject to the bank’s own review.
Compare the whole formation scope
Two company formation quotes in Dubai can cover very different work. Your final figure depends on entity type, visa count and whether a corporate shareholder is involved. These are the honest starting points.
Payment plans available — the cost can be spread rather than paid up front.
- Free zone license — Dubai
- from AED 12,500
- Free zone license — other emirates
- from AED 9,999
- E-commerce license
- from AED 5,999
- Mainland license
- Quoted individually
Starting prices, exclusive of government fees that vary by activity and visa count. Mainland pricing depends on activity and premises, so we quote it directly rather than publishing a figure that would mislead you. Every line is itemised in your written proposal before you commit.
Two formation quotes can cover very different work
Whoever you end up using, separate these three before you compare. A registration headline can leave out document preparation, attestation and everything the company needs once it exists.
-
01
Registration & entity structure
Which entity type the quote assumes, which activities are listed, and whether trade name reservation and initial approval are inside the figure or billed separately.
-
02
Shareholder documentation
Whether the memorandum of association is drafted for you, and — if a company is a shareholder — whether notarisation and attestation of the parent’s records are included or left to you.
-
03
Workspace, visas & what renews
What the package allows for visas and premises, and what recurs annually — license renewal, workspace, visa renewals, corporate tax and accounting. First-year and running cost are rarely the same.
Ask any consultant three questions: what is included, what is optional, and what renews. If the answer is not in writing before you pay, the comparison you are making is not a real one.
From structure to commercial register, in four steps
Company registration in Dubai runs through four stages, and you keep the same advisor across all of them — from the first call through to your first renewal.
-
Step 1Define the company
Who owns it, what it will do, and what role the UAE entity plays — independently or alongside a business you already run.
-
Step 2Agree the formation route
We recommend the entity type and jurisdiction that fits, and send a written proposal covering registration, documents and government charges.
-
Step 3Prepare & submit
Trade name reserved, initial approval obtained, incorporation documents assembled and the registration filed. We handle the authority correspondence.
-
Step 4Prepare to operate
License and registration issued, immigration file opened, bank introduction made, corporate tax registration completed and your records set up.
Make the most of your first call
20 minutes goes a long way if you bring 3 things. Nothing needs to be final — rough answers are enough for us to point you at the right entity.
- The proposed owners and roughly how the shareholding will split
- A short description of what the company will do, and three trade name ideas
- If an existing company will hold shares, its country of incorporation
You do not need every decision settled to start the conversation — that is what the call is for.

Your company formation Dubai questions, answered
1. Is a consultation useful if I haven’t decided on the structure yet?
Yes — that is the normal starting point, and deciding first is how people end up in the wrong entity. Begin with who will own the company, what it will actually do and where its customers will be; the entity type and jurisdiction follow from those three answers rather than the other way round. We are a partnered CSP across almost every UAE free zone as well as mainland, so the recommendation is based on your business, not on whose registration we are trying to sell. You do not need to arrive with a structure in mind.
2. What does LLC mean in Dubai, and is it the right entity for me?
LLC stands for limited liability company. It is the standard mainland entity in the UAE: shareholders’ liability is limited to their shareholding, and under current law most commercial activities permit 100% foreign ownership, so a local partner is no longer required for the large majority of businesses. An LLC suits you if you need to sell directly into the UAE market, take government or retail contracts, or scale visa numbers with office space. If you are serving international clients or operating online, a free zone company is usually the better economics.
3. Should I form a new company, or a branch of the one I already have?
Start from the role you want the UAE entity to play and its relationship to the existing business. A branch is an extension of the parent and carries its liabilities and activities; a subsidiary or new company is a separate legal entity with its own shareholders. The parent’s structure, its home jurisdiction and your tax position all bear on the answer, so it should not be decided on registration cost alone.
4. Can an overseas company be a shareholder in the new entity?
Yes, and it is common. Tell your advisor at the first call, because a corporate shareholder changes the document set: the parent’s certificate of incorporation, register of shareholders and a board resolution usually need notarisation and attestation, and that takes longer than individual shareholder documents. Identifying it early avoids the filing stalling halfway.
5. What is the difference between company formation, company incorporation and company registration?
In practice they describe the same process from different angles, and in the UAE market the 3 words are used interchangeably. Formation covers the whole exercise — choosing the entity, agreeing ownership, preparing documents. Company incorporation in Dubai usually refers to the same thing. Registration is the filing itself, where the company is entered on the relevant commercial register and the trade license is issued. The license you receive is the evidence of that registration.
6. How long does company formation take?
2–5 working days for most free zone entities once documentation is complete, subject to entity type and approvals. Mainland takes longer, largely because of premises and Ejari. A structure involving a corporate shareholder or an overseas parent takes longer again, because attestation of the parent’s documents sits outside anyone’s control.
7. What documents do I need to form a company?
For individual shareholders: passport copies, a business activity description and three proposed trade names. For LLC structures, a memorandum of association. Where an existing company is a shareholder, add its incorporation certificate, shareholder register and a board resolution, usually attested. We give you a route-specific checklist on the first call rather than a generic one.
8. How much does company formation in Dubai cost?
Free zone company formation starts from AED 12,500 in Dubai and AED 9,999 in other emirates. Mainland and group structures are quoted individually because activity, premises and document preparation vary widely. Your final figure depends on entity type, visa count and whether a corporate shareholder is involved. Payment plans are available.
9. Can I plan for additional shareholders or staff later?
Raise it on the first call. Adding shareholders, changing the ownership split or increasing visa allocation are all possible afterwards, but each is an amendment with a government fee and a processing period. Building the intended shape in at formation is considerably cheaper than restructuring in year two.
